Purpose and scope
These terms and conditions of sale apply to services agreed between Kevin Lefebvre EI, trading as Initial IA, and its business clients. They form the basis of the commercial relationship, subject to the specific terms in the accepted quotation, proposal or contract.
Placing an order constitutes acceptance of these terms. They are not intended for consumers.
Services
Initial IA offers consulting, scoping, training, AI integration and automation, document assistants, web monitoring and collection, private infrastructure, hosting, operational maintenance and governance support.
The scope, deliverables, dependencies, acceptance criteria and any service levels are defined in the accepted commercial documents. A presentation on the website does not, on its own, constitute a contractual commitment.
Quotations and orders
Unless otherwise stated, a quotation is valid for thirty days from its issue date. An order becomes binding after written acceptance of the quotation or proposal and, where specified, receipt of the deposit.
For any future online order, approval of the order summary and payment will constitute an order under the terms displayed before confirmation. Simply using this website does not currently trigger any payment.
Prices, VAT and payment
Prices are stated in euros excluding tax. As at the update date, VAT is not applicable under Article 293 B of the French General Tax Code. Any change in tax status will be applied to the relevant invoices in accordance with the regulations.
Unless otherwise agreed, invoices are payable within thirty days of the invoice date. Late payment automatically incurs penalties at three times the statutory interest rate and a fixed €40 debt recovery charge, without prejudice to justified additional costs.
Delivery and timelines
Initial IA is subject to an obligation to use reasonable professional care and skill. Timelines are indicative unless a firm written commitment is given. They depend on the client providing the necessary information, access, approvals and environments on time.
Changes to scope may require an amendment, a new quotation or a revised schedule before implementation.
Client obligations
The client provides accurate information, appoints an authorised contact, ensures the necessary access and completes the agreed approvals. The client ensures it holds the necessary rights and lawful bases for the data, documents, content and software entrusted to Initial IA.
The client remains responsible for business decisions based on AI system outputs and implements human oversight appropriate to its context. Access credentials and sensitive data must only be shared through the agreed channel.
AI systems and third-party components
AI models may produce incomplete, uncertain or incorrect answers. Unless specifically agreed in writing, Initial IA does not guarantee the absolute accuracy of generated output or its suitability for regulated or critical decisions without human approval.
Open-source components, models, APIs and third-party software remain subject to their respective licences and terms. Initial IA prioritises documented, reversible architectures within the technical and contractual limits of the chosen scope.
Hosting and operations
Where a service includes hosting or managed operations, location, capacity, backups, retention, maintenance and applicable service levels are specified in the accepted offer. Scheduled maintenance and necessary security measures may cause temporary interruptions.
The client retains its rights to its data. Arrangements for return, portability or deletion at the end of the service are those set out in the contract or corresponding proposal.
Confidentiality and data
Each party protects confidential information received during the engagement and uses it only to perform that engagement, unless authorised otherwise or legally required. Where Initial IA processes personal data on the client's behalf, roles and instructions are defined in an agreement appropriate to that processing.
Intellectual property
Unless otherwise agreed, specifically created deliverables remain the property of Initial IA until payment in full. Rights licensed or transferred, their territory, duration and any limitations are specified in the contractual documents.
Methods, know-how, generic components and pre-existing tools remain the property of their respective owners. Client materials remain the client's property.
Liability
Initial IA may only be held liable for proven fault directly attributable to the service. Unless mandatory law or a specific agreement provides otherwise, liability is limited to the amount actually received for the service that caused the damage.
Initial IA is not liable for damage resulting from incorrect information supplied by the client, unauthorised changes, use outside the agreed scope, a third-party component or force majeure under French law.
Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties will seek an amicable resolution before taking legal action. Failing that, the courts with jurisdiction over the registered office of Kevin Lefebvre EI will hear the matter, subject to applicable mandatory rules.
